NN Group sells preference shares Unilever

NN Groupannounces that it has signed an irrevocable agreement with Unilever PLC toaccept a public offer for the outstanding 6% and 7% cumulative preferenceshares in Unilever N.V. (Preference Shares) which Unilever intends to launch,and to tender all Preference Shares held by NN Group.

ThePreference Shares held by NN Group represent a total value of approximately EUR295 million and 11.4% of the voting rights in Unilever N.V. The fair value ofthe Preference Shares is reflected in the IFRS and Solvency II balance sheet ofNN Group at 30 June 2017. An IFRS capital gain of approximately EUR 250 millionis expected to be reported after settlement of the transaction, which isanticipated in the fourth quarter of 2017.

NN Group’s secondquarter 2017 results will be published on 17 August 2017.

The ordinaryshares in Unilever N.V. held by NN Group are unaffected by thistransaction.
