The Annual General Meeting (AGM) of NN Group N.V. has adopted allproposals on the agenda, including the adoption of the annual accounts for the 2017financial year, the reappointment of Heijo Hauser and Hans Schoen as members ofthe Supervisory Board of NN Group, and the appointment of David Cole as memberof the Supervisory Board of NN Group. The reappointment of Delfin Rueda as memberof the Executive Board, Chief Financial Officer (CFO) and vice-chair of theExecutive Board of NN Group for a term of four years was notified to theGeneral Meeting and is effective as of today.

The AGM also adopted the final dividend for 2017 ofEUR 1.04 per ordinary share. Together with the interim dividend ofEUR 0.62 per ordinary share paid on 11 September 2017, the total dividendfor 2017 amounts to EUR 1.66 per ordinary share. The final dividend for 2017will be paid either fully in cash, after deduction of withholding tax ifapplicable, or fully in ordinary shares at the election of the shareholder. NNGroup will neutralise the dilutive effect of the stock dividend on earnings perordinary share through the repurchase of ordinary shares. TheNN Group ordinary shares will be quoted ex-dividend on 4 June 2018. The recorddate for the dividend will be 5 June 2018. The election period will run from 4June 2018 up to and including 18 June 2018. If no choice is made during theelection period the dividend will be paid in cash. The stock fraction for thestock dividend will be based on the volume weighted average price of NN Groupordinary shares on Euronext Amsterdam for the five trading days from 12 June2018 up to and including 18 June 2018.
